Implant Sciences [IMX], which is shifting its focus to its security business, has agreed to acquire Ion Metrics, Inc., a developer of mass spectrometer, differential mobility spectrometer and ion mobility spectrometry technology, as well as miniature, lightweight vacuum pump technology. Implant says it will issue two million shares of its common stock to close the deal, which is expected to occur next month. Implant says it will also assume certain specified liabilities. Ion Metrics makes low cost mass sensor systems for detecting and analyzing chemical compounds such as explosives, chemical warfare agents, narcotics and toxic industrial chemicals for homeland defense, security, forensic and environmental markets. Implant, which makes the ion mobility-based Quantum Sniffer explosive trace detectors, says the deal will enhance its core technology with new capabilities and the integration of these capabilities into new product offerings. “We believe Ion Metrics has demonstrated the capability of successfully miniaturizing advanced MS, DMS, and IMS technologies with clear applications for security, safety and defense,” says Phillip Thomas, chairman and CEO of Implant. “Furthermore, the integration of the Ion Metrics technologies into our Quantum Sniffer product line provides us with opportunities to introduce smaller, lower cost, and higher performance security solutions.”
